Friendship:A Special Bond, Support System, and Everlasting Memories A women’s friendship provides a special bond, support system, and everlasting memories which creates a concrete relationship that continues to expand throughout a lifetime. According to the Merriam-Webster Dictionary, friendship is â€Å"the quality or state of being friendly.† This means a friend is someone who is caring and willing to go out of their way to impact and change one’s life. My story is about the relationship I have with my best friend, Jessica and a time where I was stressed during my freshman year of high school. She was the first one to give me guidance, help me keep my mind off of stress, and live life to the fullest. From this friendship, I have learned so much about my true passions and developed a close-knit relationship with a truly amazing person. Limited Liability Corporation and Partnership In the United States, limited liability companies increased rapidly throughout the past 10 years. These structures permit businesses to decrease federal tax liabilities by federal pass-through provisions (Bean Bilyeu, 1997). Limited liability can apply to any non-corporate business, in any state, and provides characteristics of a corporation and a partnership. Individual states regulate the operations of the LLCs. However, companies with limited liability are different and distinct from a sole proprietorship, partnership, and corporation.The purpose of the subject is to explain the roles of limited liability corporations (LLC) and partnerships (LLP), and discuss under what circumstances one would choose to use an LLC or LLP to establish his or her own business. Limited Liability Companies Limited liability companies gained recognition because they have similar characteristics of corporations allowing owners limited personal liability for business debts and actions. They also provide characteristics similar to partnerships, meaning flexibility and taxation benefits. LLCs are state regulated and most states do not limit ownership. LLCs cannot possess more than two characteristics of a corporation, which are centralized management, continuity of life, free transferability of interest, and limited liability (Liebert-Hall, nd). Furthermore, the federal government does not classify LLCs for tax purposes. Instead, the company must file taxes as a corporation, partnership, or sole proprietorship. The LLC can choose its classification. To be considered as an LLC corporation or partnership, the organization must have two or more members.In addition, single entities can choose to be taxed separate from the owner. However, banks, insurance companies, and nonprofit organizations usually cannot be an LLC. The next two sections will discuss limited liability corporations and partnerships. Corporations Members in an LLC normally possess only an economic interest in the business. These memberships can transfer to other members of the business or non-members. Membership interests do not allow members to take part in daily activities, voting, or management unless they are accepted as a new member.The acceptance of new members depends on state regulations and articles of organization, which usually requires a unanimous vote. Furthermore, member’s contributions to the LLC determine his or her rights and obligations. Leaving a LLC is usually easy, unless the articles of organization or state put a restriction on withdrawal. Members can receive his or her contributions unless otherwise stated in the articles. Dissolution occurs when the LLC legally ends. This usually occurs with a death, disability, withdrawal, bankruptcy, or expulsion of members (Farlex, Inc. 2011). The LLC may be extended with the consent of members and preparing a new article of organization. As stated previously, the federal government does not recognize an LLC company and for tax purposes its filing status is determined by the Entity Classification Rules. If an LLC does not choose to be taxed as a corporation, it will be taxed as a partnership. A corporation and its shareholders are taxed separately. Under a limited liability corporation, self-employed individuals are subject to taxes.LLCs may also have a hard time obtain financing and its operations restricted. Partnership A LLP operates like a partnership providing limited personal liability to its members. Members are responsible for their own actions in the business but not for the actions of other members. On the other hand, all members are responsible for the obligations of those under their supervision. Members of a LLP share equally in the company, its decisions, operations, issues, profits, and losses. Partnerships allow single taxation, which is more appealing to owners.This is pass-through taxation, which â€Å"means that the income, losses, credits and deductions of an LLC can pass directly to a company’s members for use on their own respective income tax returns† (Bean Bilyeu, p. 1, 1997). LLC versus LLP The choice to establish an LLC or an LLP depends on the type of business and its operations. It also depends on what benefits the owners will receive from each. Factors to consider in the decision are the complexity, liability, number of owners, capital, taxation, and survivorship as well as usiness goals, control, skill, cost, and commitment (Liebert-Hall, nd). After researching both the LLC and LLP, my choice is the limited liability partnership. The most appealing factors are the limited liability and the ability to remain in control of the business. Another appealing factor is tax benefits. LLPs are not taxed double and partnership is easier to dissolve. Conclusion Limited liability company structures are a new type of business entity growing rapidly and becoming more popular throughout the world.They offer many opportunities of the corporation and partnership, each structure providing its own advantages and disadvantages. The group of 100 employees produced only 13 pianos that year. After many attempts, Guangzhou technicians were finally satisfied with the tone color and quality of its first manufactured piano, and in a short time it was sold in Hong Kong. It would be twenty years before the factory was able to prove its potential. As a State -owned enterprise PRPG is accountable to the Guangzhou municipal government. Investments from both Yamaha and Steinway Sons have played a key role in the expansion of their production. In addition, PRPG has bought the German piano brand Ritmuller and will be expanding in the European market. Guangzhou, located at the north of the Pearl River delta, is an important trading center as well as a busy port and the capital city of the province of Guandong . The city has an area of over 16,000 square kilometers and a population of 6.7 million. Guangzhou is also one of the most important centers of foreign commerce in South China. There are a lot of interesting legends concerning its past. One of the beautiful stories which gives the city its name Goat Town says that five gods riding on five goats brought the first grain to the city. In 1959 PRPG consisted of a shed on the side of the street to repair pianos. Later a shelter was built to process the wood. PRPGs domestic shipments climbed even throughout Asias financial crisis. During the1960s companies such as Yamaha took advantage of low labor costs to enter the global and domestic market. They were quietly followed my South Korea. For years the musical instrument business was dominated by U.S. and European companies. But this has been changing now for decades. In 1992 Tong Zhi Cheng took control of the company. He had worked for only one company during his adult life, the state-owned PRPG. When Tong took over pianos were fairly common in households in Europe and the U.S. for nearly two centuries, but in China they have been a luxury. In 1995 PRPG and Yamaha Pianos of Japan forged a $10 million joint venture. They set up a company called Yamaha-Pearl River. This company was set up to make certain Eterna models that are exported to Europe and the USA. Unlike Chinas typically backward state-owned companies, PRPG is savvy about brands and looks for new products to sell. Tong bought a mature German brand Ritmà ¼ller in 1999. In addition he has struck a deal with Steinway Sons to produce their Essex line of pianos. Today, PRPG consists of a factory spanning 2 million square feetthe worlds biggest piano plantcranks out 250 pianos every day. White-smocked workers steer computer-driven kilns that bake oak planks en masse. Individual piano keys are hand-checked for precision and balance. Five pairs of ears listen to each pianos tuning, speeding another instrument out the doorand into Americas living rooms. However, the definition of a leader has been controversial. According to Locke (2009), leadership is defined as a process that involves inducing others so that they can take action whose end is the achievement of a common goal. To Locke and Sadler (2003), leadership incorporates three elements: a relational concept, a process, and an action. Leadership does not exist except when one is talking about the relation with followers. The absence of followers implies the absence of leadership. When defined in relational concept, effective leaders have been described as those who are good in inspiring and relating to their followers. Leadership has also been defined regarding a process in that for one to be described as a leader, he/she must do something. To proponents of this theory, leadership involves more than just holding a title or any other position of authority. However, although a formalized po sition of authority can exist to facilitate a leadership process, Locke argued that simply occupying such a position is not enough to make one a leader. A leader is also required to induce others to take some form of action, and a leader can employ various approaches to induce their followers to take some action toward a common goal. Some of the approaches leaders can employ to induce his followers to take action include modeling by setting an example, organizational restructuring, communicating a vision, legitimate authority, team building, goal setting, and rewarding and punishing (Locke, 1999). It has been argued that the way leaders implement plans, provide direction to their followers, and motivate their people to varying from one leader to another thereby resulting in various leadership styles. Some of the leadership styles include autocratic, Laissez-Faire, participative, transactional, and transformational (Johnson, 2017; Northouse, 2012). Johnson (2017) described participative leader as one who employs a democratic style of leadership. Such leaders value input from peers and team members. However, the responsibility of making the final decisions rely on the leader. On the other hand, transactional leaders provide either rewards or punishments to peers or team members according to their performance results. Transformational leaders, however, rely on a high level of communication to their team members to meet their goals. Such leaders motivate their followers or employees and enhance efficiency and productivity through a combination of high visibility and communication. A transformational style of leadership requires that the management is highly involved in the achievement of the organizational goals. Leaders who employ transformational leadership style focus on the big organizational picture and delegate smaller assignments or tasks to the team members to accomplish so that they can achieve the overall organizational goal (Johnson, 2017). Northouse (2012) added that transformational leadership involves a process where the leader engages with followers and creates a connection that boosts not only the level of morality but also the level of motivation for both the follower and the leader. He further pointed out that transformational leaders are attentive to the needs as well as motives of their followers and strive to make sure that their followers reach their fullest potential. In the case of Booker and Newark residents (Cohen, 2014; Russakoff, 2014), Booker strived to ensure that the people of Newark access the best education system in the coun try. He wanted to make Newark public school system to be a model of how best public schools should be run in the country. Bookers idea was to transform one of the worst performing public education systems to be the best it can be in the whole country. His chances of success in this endeavor were going to be influenced by many factors. Organizational Performance Improvement Leaders not only have a potential to improve organizational performance but also a failure of organizations to achieve their performance goals. A study of leadership styles suggests that leaders can influence their organizations in various ways. Choudhary, Akhtar, and Zaheer (2013) examined the influence of two comparative leadership styles on the outcomes of organizational performance. Their findings suggest that transformational leadership has more influence on organizational learning than servant leadership. The researchers further found out that a higher level of organizational learning is responsible for a higher organizational performance. The authors then suggested that leaders can choose a style of leadership that can help them to achieve what they want to achieve in their organizations. Their results are similar to those of Noruzy et al. (2013) who also found out that transformational leadership has a strong influence on the organizational learning as well as knowledge manag ement. Transformational leadership style also has a huge impact on the innovation within an organization. Overall, the researchers findings revealed that transformational leadership has an influence on the organizational performance. Leaders who wish to enhance their organizational performance can, therefore, opt to choose transformational leadership style. Although a lot has been studied on how leadership can influence organizational performance, Peterson, Smith, Martorana, Owens (2003) argued that leaders are also responsible for the failure of their organizations. According to the authors, leadership personality is one of the factors that can determine organizational success and organizational failure. They pointed out that if the top leadership personality is bad, the organization can increase the chances of organizational failure. However, if the personality of the top leaders in an organization is appropriate, the organization has an increased chance of succeeding in its miss ion. Newark schools had been performing poorly for a very long time. Booker had noted declining performance and had yearned for a time when he can intervene. His time to transform the poor education system of Newark came after his election as a mayor for Newark. The Newark education system was in a crisis. In situations of crisis, leaders emerge. Leadership involves motivating others toward a common goal. In the context of Newark education system, the common goal was to improve the declining academic standards and create a national model on how to overhaul an entire school district. As a leader, Booker believed that he was the much-needed leader to lead the Newark out of the education crisis. Booker had a vision of turning Newark education system to be the best in the country. Booker noted that to succeed in turning his vision into reality, one of the most critical resources was funding. Consequently, as a determined leader, he sought funds from philanthropists to help him achieve his vis ion. After communicating his vision for Newark, many philanthropists donated their money to help Booker realize his vision. One of the people who was attracted by Bookers vision was Mark Zuckerberg who donated his $100 million to help in the transformation of the Newark education system (Russakoff, 2014). After obtaining sufficient funds, it was time to implement his vision to bring an overhaul of the education system. Although Booker had demonstrated exemplary leadership skills and transformative ideas about the Newark education system, he failed to realize that implementation of a vision requires the cooperation of more people than financiers. At some point, Booker was reminded by Zuckerberg to choose a competent leader who can become the Superintendent. As a good leader, Booker need not be reminded about the need recruit a person to lead the change or the characteristics of a person who could help transform the failing education system of the Newark. Zuckerberg idea to Booker was that he should choose a transformational leader as an assurance that the vision of transforming the Newark education system was going to be successful. Booker had spent a lot of time looking for the funds, but he dedicated little time in investing in proper leadership structures. For example, he should develop a sound leadership structure that was going to work with him to implement the vision. A sound leadership struct ure would have helped him to plan how the funds would be obtained and how it would be spent. Furthermore, the leadership structure would have devised better ways in which the funds obtained was going to be effectively utilized. Booker had a very weak leadership structure. He only managed to appoint Superintendent in a hurry. Although Anderson, the superintendent, demonstrated that she was up to the task, still there was a lot of weakness in the overall leadership structure. Anderson manner of engagement won the hearts of many people suggesting that she had good leadership skills. However, Anderson came without an agenda but a clear vision. According to her, the most important thing was to define success, and she found it as something simple. This is a further indication of poor leadership in the transformation process. This was demonstrated in the manner in which the decisions were made. From the given information, there was poor decision making in matters pertaining the education s ystem of Newark. Booker and Anderson made key decisions without making a second thought to find out if they were going to work or they were going to face some challenges. Throughout the, there is no evidence of the presence of a sound leadership structure. Newark Education System The promise of $100 million gifts was made by Zuckerberg. However, several months later, Booker, the Senator, and Christie, the governor had neither a good transformational leader not a reform plan for the education system. This demonstrates a leadership ineptitude since both would have nominated people they were going together early so that they can prepare reform plan as a team. In fact, it was not until Zuckerberg send a mail to Booker that he began to search for competent superintend. Although Booker had sold the vision to the people, people only realized that the plan to overhaul the Newark education system was just good only on paper. According to the critics of the transformation plan, the solutions were poorly thought out, and they could make negligible positive impacts on the education system. The education programs that were going with the new education system had not been developed while transportation was not even fully tackled. Further, things that were initially promise d were never realized. Bookers idea of educational transformation in Newark failed because of lack of clear strategy. There was too much focus on securing financial assets but little time was devoted to organizing a strong team that was going to draft a working strategy. Not only did Booker and Anderson failed in the development of a sound leadership structure but also in their approach. Booker and Andersons approach suggest that their ideas were final. They believe that the ideas they had were the one people had been waiting for. The two leaders forget the importance of involving those whom the change was going to affect: stakeholders. Following the lack of the major stakeholders, there was weak support from the public. The best approach would have been to make the people of Newark also own the process of transformation by giving them a chance to contribute toward the transformation process. For example, there was a need to inform the people about the need for the change, how the change could be brought about, and who were going to be affected by the change. The strategy employed by Booker and Christie was a top-down approach where there was minimum interaction with the members of the public. And when the public was involved, it was later in the stages of the implementation. For example, a community advisory committee which was to help in the implementation of the N ewark transformation plan was created two years after the money had been released when most of the money had been spent on teacher contracts and charter schools. This implies they were created at a time their contribution to the effective management of the funds were no longer important.; The case of addressing Newark;s school;s problems give an excellent case on leadership practices, traits, team leadership, and organizational elements that were responsible for the overall outcome of the process. Through their practices, leaders can shape the outcome of the organizational goals. For example, Booker had a good vision of transforming Newark poorly performing public schools to charters. He believed that by converting a public school to run charters independently, the performance would improve. According to the Leadership Challenge (2017), five practices of exemplary leadership include modeling the way, inspiring a shared vision, challenging the process, enabling others to act, and encouraging others to act. Booker modeled the way by coming up with an idea of transforming Newark schools. He identified the problems facing public schools and the advantages that can be gained by changing public schools to charters. He also identified the challenges of running chartered scho ols. One of the great obstacles was funding. Through his practice of shared vision, Booker sold his idea to many people especially the corporate philanthropists who were willing to make a change in Newark. Booker;s inspired others by selling his vision, and in the process, several philanthropists including Zuckerberg contributed the necessary finances that were needed to achieve the vision of education excellence in Newark. Booker knew that transforming the public schools to charters was not an easy process because not all people share the same idea. However, he went ahead to challenge the process and introduce the changes anyway. This is where he went wrong. Instead of seeking the participation of many stakeholders including the members of the public, Booker seemed to push the idea on the people through Anderson. Consequently, he receives little public support during the implementation of his strategy. He would have succeeded if he had sought public support before introducing the c hanges. The people need to understand why the changes were necessary and how the changes could benefit them. Further, they would have also felt proud by owning the process of change. One of the practices of exemplary leaders is also their willingness to enable others to act. To implement his ideas, Booker knew that he needed people to help him. As a result, he appointed Anderson and gave her all the necessary support to ensure that the plans were implemented successfully.; Newark School System Leaders possess various traits which characterize them which include emotional stability, dominance, enthusiasm, conscientiousness, social boldness, tough-mindedness, self-assurance, and compulsiveness. Other traits include high energy, intuitiveness, maturity, team orientation, empathy, and charisma.; ;In the case of Newark school systems transformation, leaders involved in the transformation process demonstrated some of these traits.; For example, Zuckerberg and other philanthropists like Bill Gates were so emphatic about the school children in Newark that they offered their monetary help to transform the situation. However, in his approach to the transformation process, Booker demonstrated poor intuitiveness. He failed to evaluate all the factors that were necessary to make the plan successful and also factors that were going to be barriers toward the realization of his vision. High energy is a trait of a good leader. Booker had high energy, and he spent a lot of time persuading, traveling, and selling his vision of the transformation of the education system in Newark until he attracted a lot of attention. Dominance is another trait that can be observed from Booker and Anderson. Both demonstrated the ability to be assertive in their thinking styles and also in their attitude in which they dealt with others. Zuckerberg, Booker, Christie, and Anderson (Cohen, 2014) demonstrated a lot of enthusiasm in the education transformation in Newark. All the four were expressive, energetic, and active in ensuring that the change process was implemented. On the trait of tough-mindedness, Booker showed that he was tough-mind when he chose to proceed with the reform process while he knew that some people were not comfortable with the process. Both Anderson and Booker also demonstrated that they were self-assured leaders. They exhibited self-confidence and resilience in their actions. For example, when the first plan failed to produce positive changes, Anderson came up with the second plan that was known as One Newark (Moss, 2014) which she believed it could work. During the transformation, the leaders exhibited a lot of teamwork. They worked for hand in hand to draft plans and supervise the implementation. They also worked together to overcome obstacles that were standing in the way of the reform process. The reform process, however, became a failure despite billions spent on the consultancy and implementation of the recommendations suggested by the consultants. Opponents of the reform process argue that the failure was caused by several assumptions (Kamenetz, 2011). The Booker;s team ought to have included the participation of many stakeholders so that they could also contribute towards the success of the plan.; It has been shown that successful leaders possess certain traits (Kirkpatrick ; Locke, 1991; Zaccaro, Kemp, ; Bader, 2004). Alternatively, leaders who are not successful do not possess traits that are common among successful leaders. According to Kreitner (2008), modern leaders ought to be emotionally intelligent. Goleman in Kreitner (2008) pointed out that emotionally intelligent leaders ought to possess traits such as self-awareness, social awareness, self-management, and relationship management. Courage has also been identified as an appropriate leadership trait and includes the elements of purpose, will, rigor, candor, and risks (Kreitner, 2008). As an ex-full-time greeting card writer for the once third largest greeting card company in America Norcross (Hallmark being #1 and American Greeting #2), I thought I’d pass on some info on this market from my years in the â€Å"humor† department. It was fun being paid to sit and fold white paper from 9-5 everyday and come up with clever (and nice) ways to wish people happiness and well-being. Even though Norcross is now defunct, the rules for writing greeting cards haven’t altered much through the years. Yes, more risquà © humor has entered the market, as well as controversial subjects (such as divorce cards) but the basics haven’t changed. The most important basic is to keep it conversational: write as if talking to a friend. Never invert words or force a rhyme. Some companies still buy rhymes, but greeting card verse is NOT poetry since it is always conversational in style. Rhyming can work when it’s used with familiar figures of speech that are popular in everyday language. However, the main ingredient in a card is a wish, a greeting, a compliment or an expression of appreciation. Always keep the message informal. i.e. don’t say: Just like flowers, our friendship blooms†¦ rather say: It means a lot to have you as a friend†¦ The more natural the verse, the more marketable the card, so if you wouldn’t speak it out loud, don’t write it. Keep it sounding genuine. A good idea before attempting greeting cards is to read and study the market (just like in any other market). Once you become familiar with what’s published (without borrowing anything you see), jot down some of today’s popular expressions. You can pick these up from TV, conversations, or hit songs. Then, think about what you would want to say to a friend or loved one on his birthday, anniversary or when they’re ill. The ability to put yourself in the other person’s shoes is a successful tactic in writing a greeting card wish. Of course, you’ll find it easier to be funny and nasty than funny and nice! But most companies are looking for a pleasant wish to pass along. In submitting ideas, try to limit the number to no more than 10 at one time. Nowadays, depending on the company, you either submit one idea per page with SASE or type your ideas in the body of an email (no attachments allowed). Also, while greeting cards are sent mostly to celebrate an important sentimental or emotional occasion, don’t get too sappy or you could embarrass the one receiving it. And lastly, do limit the personal pronouns (me, I, we) because their usage could limit sales (of course, that does not include Special Title cards for Wife, Husband, Sister/Brother or Sweetheart). Baroque music can be divided into three periods - early, middle and late characterized by different styles. The early period was entrenched in religion while the middle period was characterized by music played in the court. This was the age of ‘absolutism’ when the power of the Church and the state created the need for organized public music and Chamber music. Music began to be treated as an art to be taught under the auspices of a formal structure. Jean-Baptiste Lully’s works during that period is marked by acquiescence to the demands made by the court and thus we have in collaborating with Molià ¨re in comà ©die-ballets, i.e. plays with dancing. He composed operas for the King, creating the tragà ©die lyrique based on libretti where the main focus was on the conflict.

Diseases Affecting Different Parts of the Body Pnuemonia Pneumonia is an inflammation of the one or both lungs in the lower respiratory tract that involves lung parenchyma including alveoli and supportive structure. It is also called pneumonitis. Causes: it can be caused by a wide variety of etiologic agents including bacteria virus, aspiration, fungi, mycobacterium mode of transmission, clinical manifestation vary depending on the etiologic agents. Pneumonia are classified according to causative organism. They are: Bacterial pneumonia: The most common cause of pneumonia in adults is a bacterium called Streptococcus pneumonia. This form of pneumonia is sometimes called pneumococcal pneumonia. other types of bacteria can cause pneumonia, including: homophiles influenza, staphylococcal aureus, Mycoplasma pneumonia, Chlamydophila pneumonia. Viral pneumonia: Viruses can also cause pneumonia, influenza A most common with the patient of AIDS. Viruses are a common cause of pneumonia in young children. Aspiration pneumonia: The object or substance inhaled causes irritation in the lungs or damages them. This is called aspiration pneumonia. Rarely, pneumonia can be caused by breathing in: vomit, a foreign object, such as a peanut, a harmful substance, such as smoke or a chemical. Fungal pneumonia: It more often affects people whose immune systems are weakened. Fungal pneumonia includes histoplasmosis, coccidioidomycosis and blastomycosis. Sign and symptoms: Sudden onset of high fever. Shaking chills and sweating. Coughing, sneezing, nasal congestion. Shortness of breath Rapid Shallow breathing Hypotension Muscle pain Confusion Headache Weakness, malaise cyanosis Nausea and vomiting Diarrhoea Sharp stabbing chest pains during coughing or deep breath. Cough producing unpleasant sputum, which may be green, rusty or blood stained. Diagnosis: History of the patient. Physical examination (auscultation) Chest x-ray Sputum test for culture Bronchoscope Blood culture Liver function test C T scan Treatment: Bacterial pneumonia treated by antibiotic (Penicillin, Ampicillin). Anti -Inflammatory drugs (ibuprofen, aspirin, and paracetamol). Anti-viral drugs, steroids. Chest physiotherapy Bed rest until infection shows sign of clearing. Given oxygen to improve ventilation. High level of fluid intake. Deep breathing and coughing Prevention measure: Avoiding smoking, alcohol and cold, vaccination (vaccine against influenza), good hygiene. Asthma: Asthma is a respiratory condition marked by wheezing. Asthma affects the airways of the lungs. The inflammation irritates the muscles around the airways, and causes them to squeeze (constrict). This causes narrowing of the airways. The inflammation also causes the lining of the airways to make extra mucus which causes cough and further obstruction to airflow. Sign and symptoms: feeling breathless (you may gasp for breath) a tight chest, like a band tightening around  it   wheezing, which  makes  a whistling sound when you breathe coughing particularly at night and early morning attacks triggered by exercise, exposure to allergens and other triggers Sweating, restless Diagnosis: History taking, physical examination, sign and symptoms, spirometry test, peak spirometry flow rate test, airway responsiveness tests, test of airway inflammation, test of allergy Treatment: asthma cannot be cure but some treatments are for rapid relief of symptoms. Such as inhaled steroids, inhaler (puffer), Bronchodilator ( salbutamol , nebulizer), give sodium cromoglycate to prevent attacks, Prevention: The common cold- avoid expose to cold environment, the effects of a cold can last for a long time unless you are given increased treatment. Asthma attacks are often set off by allergies. Common things which people with asthma are allergic to are grass pollen, house dust and animal fur (including your own pets). Exercise- running, particularly in cold weather, can cause an asthma attack. However, exercise-induced asthma can be controlled. People with asthma should not avoid sport and exercise they contribute to overall good health. Irritants -like tobacco smoke, fumes and a dusty atmosphere will often lead to asthma attacks. Emotion anger, anxiety or happiness can bring on an attack of wheezing in some people with asthma. But it is not true that nerves are the underlying cause of asthma. Pollution- especially from traffic, is increasingly recognized as making asthma worse. Diseases of the Digestive System: Peptic ulcer: A peptic ulcer is an area of damage to the lining of either the stomach or the wall of the small bowel. Peptic ulcer named accordingly to their location.eg esophageal ulcer, duodenal ulcer, gastric ulcer. Most common in duodenal ulcer. Causes: Infection from helicobacter pylori. Take non-steroidal anti- inflammatory drugs a long period. E.g. ibuprofen, aspirin. Constant tension and stress is another contributing factor. Excessive secretion of HCL acid in the stomach can also lead to peptic ulcer. Such as caffeine, smoking, alcohol increase HCL secretion. Sign and symptoms: Symptoms may last a few days, weeks, or months. Sometimes symptoms can disappear but reappear months, afterwards, often with no identifiable cause. Sometimes, the patient may even be symptom-less. Cushings syndrome: Cushings syndrome is a condition in which the adrenals secrete excess of cortisone. Cushings syndrome is relatively and most commonly affects adult aged 20 to 40. People who are obese, type two diabetes, high blood pressure have an increased risk of developing the disorder. Causes: Body is exposed to an excess of glucocorticoid hormones over a long period of time. The most common cause of this excess is the taking of oral steroid treatment for medical conditions such as rheumatoid arthritis and other inflammatory conditions. Winter Oak :: essays research papers

1.a) Our gut reaction to Winter Oak is that it had a lot of meaning, but was dull and tedious. Some words and phrases we used to relate our thoughts on the story are as follows: - Boring. - Monotonous. - No real conflict. - No feeling. - No real plot. - Didn’t invoke a strong reaction. - There was a definite lesson to be learned. 1.b) Yuri Nagibin used different devices to evoke various reactions in us, some of these were: The dialogue; it was concise yet boring but realistic for example, when Anna Vasilyevna was trying to teach the children their nouns. "A noun is a part of speech that denotes an object. In grammar an†¦" (Nagibin 59). Much of this dialogue is unnecessary; we the reader understands what goes on in the classroom, and two pages are not needed to establish nouns. Also, through dialogue Anna proved to be a snob. "’Good morning Anna Vasilyevna!’ Frolov raised his fur hat above his solid, close-cropped head. ‘what are you doing! Put it back on it’s freezing!’ Frolov probably wanted to pull his fur over his eyes himself†¦" (Nagibin 58). Anna feels as though she is high and mighty, and will not even acknowledge Frolov’s attempt of respect towards her. There were very powerful images present in the forest, such as the gigantic winter oak. The image of Savushkin standing in front of the Winter Oak, in utter awe of its splendo r and Anna Vasilyevna realizing the beauty of the winter oak appeals to the sight, because it is easy to picture in our minds. stood an oak as enormous and magnificent as a cathedral. The trees seemed to part respectfully to allow their older companion to spread out in full force. Its lower branches stretched out in a tent over the clearing. The snow had filled the deep crevices of the bark, and the trunk, which was so wide that it would have taken three men to get their arms around it, looked as if it were shot through with silver thread. It had hardly shed any of its foliage which had dried up during the fall; the oak was covered with snow-capped leaves to the very top. (Nagibin 65) We experienced an unexpected plot twist when the stern Anna Vasilyevna went into the forest, and understood Savushkin’s point of view about the winter oak, and why he was late everyday. Midwestern Art Museum Essay

Background The present paper reviews a case study as written by Lewicky, Saunders and Barry in the text Negotiations titled Midwestern::Contemporary Art, case number 6. Its focus is on a financial crisis that the museum is facing due to a donors failure to pay a five million dollar pledge. The donor was the museums previous president of the board of directors who had a falling out with the museum director over financial matters and felt minimized by the lack support by board members. The museum is in the process of completing a major capital project and faces the near term possibility of bankruptcy if the pledge is not fulfilled. Results Legal counsel for the museum recommends suing to collect the funding but that strategy presents several negative outcomes. First is that there are very few cases where a museum has sued a donor successfully so this is not a tested option and even if they were successful, collecting the amount awarded by the court may prove very difficult. Secondly, it raises the likelihood of creating negative public relations that could adversely affect future contributions. Lastly, some of the board members are opposed to this idea. Another course of action is to enter in to negotiations to secure the funding. The current president of the board must decide on a course of action to obtain the necessary funding and unite the board in a functional manner. Conclusions A renewed focus on the future relationship between this donor and the MCA needs to be forged through skilled negotiations in a way that will benefit everyone involved. The legal route should not be the first course of action for the MCA to obtain the five million dollar pledge. The board should first try to implement a well planned negotiation strategy to include the legal option as the BATNA. Situation. The Midwestern Contemporary Art (MCA) Museum opened in 1976 and is devoted to modern art. In January of 1989 the MCA hired Keith Schmidt as executive director, and due to his extensive experience much was expected of him. That same year a reputable lawyer from the area named Peter Smith was selected as the board president. He had been a board member since 1981 and was an avid collector of contemporary art along with his wife. Together they had acquired the largest art collection of this type in the Great Lakes area. Peter Smith and Keith Schmidt had very different leadership styles and it led to disagreements on how to expand and grow the MCA. These arguments often became personal and led to animosity and mistrust. Most of their arguments had to deal with the speed of MCA’s expansion, which was pushed by Keith Schmidt. Peter Smith was more concerned about the finances and did not trust that Schmidt could operate the museum in the black. Smith presented his concerns about Schmidt to the other board members but they didn’t share the same feelings of mistrust since Mr. Schmidt’s performance had not proven deficient so far. Due to problems between the two men, Peter Smith resigned from the board in December 1991. The Smiths disappeared from the art scene at the end of 1991 and missed all payments on their $5 million pledge to the MCA. This became a problem because the MCA was planning on constructing a new building. The Smiths’ pledge was a significant amount and the new MCA facilities completion depended on their pledge. Also, the Financial Accounting Standards Board (FASB) required all non-profit organizations to record pledges as income so the MCA had already accounted for the money. This caused an even more financial hardship on the museum, and in late 1997, MCA found itself in a financial crisis due to high debt resulting from the construction and the Smiths’ unfulfilled pledge. The current board director is Peggy Fischer and she has just finished a meeting with the board to discuss the possibility of suing the Smiths for the five million dollar pledge. Although she is uncomfortable with several aspects of the legal route, she knows the museum may face bankruptcy without the pledge. She must decide if the MCA should try to pursue negotiations with the Smiths or legal action. It is a big decision to make and the boards’ next meeting is in five days. Who is in Charge? Let’s consider the leadership crisis that got them in the situation to start with. First of all, Keith Schmidt as the executive director should be able to answer the board chairman’s questions in a clear and logical manner and should not expect an â€Å"unsigned check† regardless of how he was treated elsewhere. Beyond that, Peter Smith as the board chairman is clearly micromanaging the director and as a result, both men have let the business relationship become personal. If you insist on micro-managing, you have a problem; if you believe you must check on every detail, your style is symptomatic of insecurity or paranoia. Your style is based on a lack of faith and trust in other people. And, it is repressive. It leads to little growth, it discourages any human resource development, and it focuses on problems of detail, and discourages teamwork. If you don’t trust your manager or his judgment, and you are unwilling to allow him to assume any responsibility, you are cheating yourself of the talent you are paying for. As much as you may want to, you can’t build a one-person organization that will succeed in the long run. Micro-managing may work for a while, but in time, it acts as a brake on all progress. In this case, it is stifling the expansion and growth of the MCA. Mr. Smith doesn’t realize that he is working against himself by discouraging new ideas, new art exhibits, new talent and the push to move forward has been imprisoned in the mind of one person. The two men are experiencing a competitive conflict based on different viewpoints or perspectives. I think that they have the same goals; they just disagree on how to go about obtaining them. Also, this organization is experiencing growing pains with the hiring of the director. Consequently, the roles and expectations of the organization’s members should be clarified. This one area of conflict can be the trickiest because when you are in charge, often perspectives different from your own are misunderstood or pushed aside. Managers and leaders must remember that at least some of their employees will likely have different perspectives. In fact, often different perspectives are where creative solutions are developed. There are ways to structurally reduce conflict in an organization. The ost common and effective way is to provide people with a clear definition and understanding of their role, function, and responsibilities in the workplace. This will provide them with a good understanding of the job and tasks they are to perform as an individual and within any teams they are a part of. It also provides information on where they fit within the organization and who they report to, helping to avoid disputes and misunderstandings over authority. Failing to define workplace roles and responsibilities can create tension, miscommunication and inefficiency within your business (Bulleit, 2006). People may be unsure as to what jobs are their own and who they are required to report to. Mistakes and omissions can also occur where people are unsure of what is required of them, therefore creating inefficiencies which cost time and money. If Peter Smith and Keith Schmidt understood this at the beginning of their relationship, much of the dispute would have been avoided. Once you have defined each person’s roles and responsibilities, you can record this in a â€Å"job description†. This can be as formal or informal as you prefer, however it is important to record the key information. Job descriptions provide the opportunity to clearly communicate each individual’s roles and responsibilities and also serve as a way to measure performance. With the role of each individual in the organization defined, you can also create an organization chart. This chart is a tool that helps to define the inter-relationships between the board, the director and staff. It defines reporting structures and lines of authority and responsibility, providing a picture of how the organization functions. It can be very helpful when creating a new position in an organization to have people write their own job description. This gives you insight in how that person views his responsibilities and creates buy-in on their part. People like to be part of decisions that affect their life as opposed to being told what to do. In this situation, the board of directors and its members should define their roles as well as the executive director and the staff since they are all very different. At MCA the roles are different since it is a not-for-profit organization and there are no shareholders to report to. The role of the chairman is to provide vision and outline the goals of the MCA. The role of the director is to develop a plan of how to achieve those goals and the role of the staff is to execute or put the plan in to action. I’m not sure how large the staff is at MCA, but the structural organization should extend beyond Mr. Schmidt. When defining roles and responsibilities in the workplace, you may need to create a list of all of your staff and a list of all of the tasks and roles within your business. You can then assign the roles to each staff member. It is important to remain flexible and be prepared to modify your plan in consultation with your employees. Peter Smith acted poorly when his advice was not followed by the board. It is his inability to â€Å"pass the torch† thinking that only he can win the race to success and that is largely what caused the whole situation. He is willing to â€Å"take his toys and go home† if he doesn’t get it his way. When Peter Smith’s advice was not followed by the board and he resigned he should have either withdrawn his pledge so the MCA could plan accordingly or honored his commitment. The Decision. Peggy Fischer as the current board chairman has some hard decisions. She needs to consider any alternative approaches to collect the unfulfilled pledge as opposed to a direct approach of just calling and demanding the money. She should also consider what alternatives the Smiths may have. For any successful negotiation, there is a significant amount of homework involved. The legal option may not work out since it is largely untested as pointed out by legal counsel. If that doesn’t work, the MCA will be in even deeper financial trouble with no options left with the Smiths. Ms. Fisher should first clearly identify the goal. I think that the goal should be to establish a positive relationship with the Smiths that will secure the five million dollar contribution soon and create a positive relationship that has future benefits. In addition to this goal, a Best Alternative To a Negotiated Agreement (BATNA) needs to be established. BATNAs are critical to negotiation because you cannot make a wise decision about whether to accept a negotiated agreement unless you know what your alternatives are. Your BATNA is the only standard which can protect you both from accepting terms that are too unfavorable and from rejecting terms it would be in your interest to accept. For example, the Smiths may agree to assist in finding another source of money to make up the pledge. This is not what is expected, but it may be enough to meet the financial needs of the museum. There may be several options to consider in an agreement that would accomplish the goal without strictly adhering to only two possible outcomes. Get the five million now or sue. In the simplest terms, if the proposed agreement is better than your BATNA, then you should accept it. If the agreement is not better than your BATNA, then you should reopen negotiations. (Fisher & Ury 1991). Along with establishing the negotiation desired outcome or goal and the BATNA, you need to determine the bottom line. A bottom line signifies the worst possible outcome that a negotiator might accept. Maybe it would be acceptable to obtain half of the pledged money with the idea that MCA could come up with the rest elsewhere. The bottom line is meant to act as the final barrier where a negotiation will not proceed further. It is a means to defend oneself against the pressure and temptation that is often exerted on a negotiator to conclude an agreement that is self defeating (Lewicki, Saunders & Barry, 2009). Then the next step in this situation requires her to select a negotiation strategy based on the type of relationship MCA wishes to achieve with the Smiths if any. If the importance of the relationship is high and the importance of the outcome is high, then a collaborative style of negotiation is in order. Do they want to re-establish a long term relationship? If not, then a more competitive strategy is more suitable. In this situation the board members seem to be split on their strategy. Some of the board members have made it clear that they have reservations about using the legal course, or competitive strategy, and at least one supports the chief counsels’ recommendations. If the MCA determines that they do not expect to deal with the Smiths ever again and they do not need their goodwill in the long term, then it may be appropriate to â€Å"play hardball†, seeking to win the negotiation while the other person loses out. Similarly, since there is a great deal at stake in the negotiation, it may be appropriate to prepare in detail and legitimate â€Å"gamesmanship† to gain advantage. Anyone who has been involved with large sales negotiations will be familiar with this. Neither of these approaches is usually much good for resolving disputes with people with whom you have an ongoing relationship: If the MCA plays hardball, then this disadvantages the Smiths and may, quite fairly, lead to reprisal later. Similarly, using tricks and manipulation during a negotiation can undermine trust and damage teamwork. Attempting to manipulate the Smiths in a negotiation may backfire. Here, honesty and openness is the best policy. So let’s consider the basic strategies available. The avoiding strategy is obviously not going to work since there is no clear way to obtain the funds elsewhere. The competitive strategy in this situation is comprised of the legal option that is recommended by the chief counsel and supported by at least one board member. The accommodating strategy would also require that MCA finds another source of funding since they are facing a short term crisis. A collaborative strategy is ideal but is difficult given the short time frame. The best alternative method to seek the cooperation of the Smiths and to collect the unfulfilled pledge is to use any existing relationships among the board member’s. If this is not apparent, she may consider hiring a consultant even if it is only for mapping out a strategy. It may be well worth the money because some research needs to be done to determine the network of contacts which exist around the Smiths. I think that involving a third party at least initially is a good idea to break the ice. In order to collect the five million dollar pledge, the MCA clearly needs the help of influential people to ‘open doors’, make reintroductions and even to ‘make the ask’ when appropriate. Someone is needed who will focus on reinforcing collaborations and partnerships and build on those strengths. Now is the time to put the right people in the right position to both grieve the loss of the Smiths relationship and honor their contributions. Since the Smiths were very involved in the community, the involvement of influential people from outside the museum that may be best to use in a networking and personal approach. If the Smiths are approached in a positive manner, they may choose to reclaim the part of their life that they invested so much time and money in as a legacy to Peter. The board should be involved in further discussions leading to a decision about whether or not to file a lawsuit and to this end, Peggy Fisher has some negotiations of her own to accomplish with the board members. I don’t think the museum should sue the Smiths as a first approach to this situation primarily because the relationship between a foundation and its donors is precious. Suing the people paying the bills is not good public relations and this will definitely generate a lot of attention in the community. Even if MCA wins the lawsuit there is still the big question of how to collect. Will they have to hire a collection agency? Is there one that will even take the job? If for some reason the Smiths don’t have the money it is going to be very difficult to collect. Before going any further with this as the debt collection strategy, the MCA needs to look at this from a clear perspective. Have they given the debtor enough time and notice to repay the debt that they owe? It is crucial that they attempt to contact the debtor directly before starting any legal procedures and suing for money owed. When the Smiths missed their payments, did anyone attempt to collect? This may be an issue in court. It is important to find out exactly why the Smiths have not paid because there could be some fairly legitimate reasons for the shortfall. The legal process may not produce results in the timely manner needed in this situation because it may lead to mediation anyway. Mediation is another debt collection strategy that uses mediators instead of going to court so you are back to a negotiating strategy. A mediator is a professional, hired in order to settle a dispute outside of court. They may make it easier for an agreement to be reached, however this must be reached voluntarily between the two parties (Bailey, 2010). There is a better way for the MCA to attempt the collection of the money pledged by the Smiths however, I think that the sue option is a good BATNA and should be used in this manner as part of a well planned negotiation. Having a good BATNA increases your negotiating power and the trick in this situation is determining when to make that option known to the Smiths in order to strengthen your negotiating power. The negotiation should be well thought out and executed properly. Care should be taken that the BATNA is not seen by negotiators as a safety net, but rather as a point of leverage in negotiations and again, determining when to bring it in the negotiations is a key part that a skilled negotiator must determine. In conclusion, the leadership dispute between Peter Smith and Keith Schmidt and the resulting parting of ways on supposedly bad terms should be put to rest. A renewed focus on the future for the Smiths and the MCA needs to be forged through skilled negotiations that will benefit everyone in the very different situation that both parties now face. The legal route should not be the first course of action for the MCA. The board should first try to implement a well planned negotiation strategy to include the legal option as the BATNA. Peggy Fischer has some negotiation work of her own to accomplish with the board members in order to unify everyone and focus all their resources and efforts in accomplishing a collaborative, long term relationship with the Smiths that will benefit everyone.
